运用新制度经济学观点,从公共选择视角,对中小公司在内外部因素约束下,自组织选择的三会合一、三权合一的内部相互委托-代理制衡机制进行分析,该模式较好的融合了中小公司在规模约束下,有效的降低监督、激励治理成本以及与市场机制制度化形式的要求,针对该模式所具有的自我保障、自我激励、自我监督的“三自”效率特征,提出了相应的政策和建议。
From the angle of public choice this article analyzes the corporate governance structure consisting of shareholders meeting, directorate and superintendents meeting and reveals that entrust - agent question becomes the supervisory authority, the decision - making power, and the right of management which has gathered an internal mutual entrust- agent. This model is in accordance with the requirements to decline supervision, encourage corporate cost and systematize market machanism. Finally the authors have proposed some policy suggestions according to the characteristics of self- protecting, self- encouraging and self- supervising mechanisms.
