The formation of corporate governance mode is a comprehensive result of legal origins, political environment and the development of capital market. The success of Japan-Germany corporate governance mode proves that it is feasible for a kind of corporate governance system based on concentrated ownership structure, while British and American mode is workable on the basis of developed capital market and perfect legal system. Therefore the establishment of Chinese corporate governance mode should rely on external governance environment such as perfect market and legal system, or rely on internal governance mechanism and supervision of block shareholder based on concentrated ownership structure.
