Based on the understanding about technology- alliance＇s cooperation innovation, from the perspective of game relationship of members in technology - alliance, construction a reputation model on members of technology - alliance, and analyzed the reputation incentive effect to the members＇ cooperation and explained the relationship between the reputation and the performance of governance on member＇s behavior by the model, in a perfect market of technology condition,the reputation is important incentive mechanism of members of cooperation,with the reputation incentive mechanism, technology- alliance＇s cooperation innovation is effective. Finally, Based on the conclusion of model, this paper also explained some opportunism in technology- alliance, and give some suggests how to construct environment of reputation incentive effect .
