This paper analyzes the types and characteristics of cooperation relations between subcontracting en- terprises and clients enterprises in international outsourcing, then discusses the routes which can promote technical innovation of subcontracting enterprises. These routes are knowledge obtaining, knowledge sharing and knowledge creating. Besides, the paper makes an analysis on the game theory of how cooperation promotes technical innovation of subcontracting enterprises and puts forward that long - term and strategic cooperation between two parties is the indirect power for stimulating technical innovation of subcontracting enterprise. During the process of gaming, it is the best choice to adopt the strategy of （cooperation, innovation） under certain circumstances.
