在我国国有企业改革进程中,外部董事制度的提出是一项里程碑式的突破。自2004年国务院国资委提出建立外部董事制度至今,实践探索过程中不断涌现出一些理论上、制度上亟待讨论和解决的问题。其中,最为关键和基本的就是人的问题,即外部董事选聘和培训制度的建立和完善问题。文章试图通过半结构化访谈和档案研究相结合的方法,对这一问题进行深入分析,并通过国际对比,提出相应的政策建议。
During the reform of the state-owned enterprises,the proposal of outside directors system was a landmark, Since 2004, the State Council has proposed the establishment of an external director system, exploring the emerging practical theories concerning issues needing discussing and resolving. One of the most critical and fundamental problems is about human, namely the establishment and improvement of external directors selection and training systems. This paper attempts to deeply analyze this problem, via the method of combining semi-structural interviews with archival research, and makes corresponding policy recommendations through international comparisons.
