In this article, we investigate the corporate governance mechanism of 245 conmmercial banks in Shah Dong province in terms of board of directors, board of supervisors, inside control mechanism,incenfive mechanism, competition environment and legal environment. We attempt to find the basic characters of small and medium- sized banks＇ corporate governance mechanism and the differences of banks in internal and external governance mechanism among various banks in different regions.
