This paper analyzes the importance of corporate governance, and the motivation of institutional investors to participate in corporate governance, and systematically reviews the method and effect of institutional investors participat- ing in corporate governance. By comparatively analyzing the domestic and foreign literatures, the lacks of existing re- search are identified and future research directions are proposed.
