随着中国经济发展,跨国并购已成为民营企业进入海外市场,开展二次创业的重要方式。然而,并购后能否实现处于不同国家和文化背景下的两家企业的有效协同,从而产生1+1>2的协同效应,直接决定并购的成功与否。本文以吉利并购沃尔沃为例,在对并购后沃尔沃汽车中国化过程中的关键事件进行梳理的基础上,基于多阶段协同行为策略理论,从三个阶段六个维度对其协同过程进行深入分析,以期为我国企业开展跨国并购后的协同整合提供有益借鉴。
With China’ s economic development,M&A have become the important way for private enter-prise to enter oversea market, which is also an important way to carry out the second entrepreneurship. Howev-er, the synergy effect of 1+1〉2, directly determine the success of M&A. Focusing on Geely acquisition of Volvo,this paper analyzed the process of synergy integration based onmulti-stage synergy behavior strategy theory. In the end, this paper hopes to provide some useful reference for China’ s enterprises to carry out cross-border M & A to realize synergy effect.
