当今世界,跨国公司的成长越来越多地依赖于多中心化。笔者对跨国公司多中心化的相关研究进行了梳理;剖析了跨国公司多中心化的动因在于降低成本,提高资本利用效率,促进全球知识共享,最终使企业更加迅速地对市场做出反应;多中心化也给跨国公司带来了诸多难题,包括适应新环境,重新选择成本中心,设法平衡集权与分权等。在此基础上,提出如何借助多中心化来推动我国企业跨国并购的对策建议。
Decentering has been a main development path for multi-national companies. After reviewing the decentering theories and existing situations of global companies, this paper analyzes various advantages brought by decentering. On the one hand, it facilitates global companies to diminish costs, to make full use of resources, to promote information sharing and to react more efficiently to the market. On the other hand, decentering also brings a variety of difficulties to global corporations, which contains adapting to different conditions, reselecting cost cen- ters, finding ways to balance centralization and separation of power and so on. Therefore, while enjoying various benefits from decentering, Chinese companies should make reasonable strategies in mergers and acquisitions, take advantage of the integration of value chain, improve risk evaluating and controlling capacities and so forth, which are analyzed in this paper.
