The paper deals with how the corporate governance structure poses influence on enterprise technological innovation with the factor of the entrepreneur, pointing out that entrepreneur＇s technological innovation behavior has an attribute of corporate governance. The corporate governance structure depends on two modes： market controX and organization control. They play a motivating role in the innovation behavior of the entrepreneur with internal and external motivations dominating, thus affecting the innovation driving force and innovation ability of the entrepreneur and then the choice of the type of the technological innovation of the enterprise.
