采用2001-2003年间11家商业银行的19个年报样本为依据,对我国股份制商业银行的治理机制及其与银行绩效的关系进行实证分析,发现样本银行股权结构并没有对银行绩效产生影响,董事会规模和高管人员薪酬激励对银行绩效有积极的作用,而独立董事比例和董事会会议次数却对银行绩效产生了负面影响;此外银行规模也是提升银行绩效的重要因素。
It is the tremendous damage caused by fragility of banking system and financial crisis that makes people realize the importance of perfecting commercial banks corporate governance and directly leads the world-wild research on corporate governance of commercial banks to spring up. Research on corporate governance of joint-stock commercial banks is not only helpful to comprehend and firmly grasp the characteristic of corporate governance of commercial banks, but also can offer references to reform of state-owned banks. This article analyzes the relation between the governance system of joint-stock banks and their performances in China with 19 annual report samples of 11 commercial banks during 2001 and 2003. It is found that bank's equity structure does not influence its performance, the size of board of directors and the compensation incentive of high-placed staffs government have positive effects while the proportion of independent directors and the frequency of board of directors conferences have negative ones. In addition, bank's size also does active effect on its performance.
