英文摘要：

There is a relationship between industrial cluster and spin-off entrepreneurship, and cluster constitutes the advantage of spin-off entrepreneurship. Based on case study and grounded theory method, we make an independent analysis and comparative research on the dual case. Spin- off entrepreneurship within industrial cluster in China has four typical features, first, mainly depen- ding on survival entrepreneurship and opportunity entrepreneurship as supplement. Second, pro- gressive development and diversified business. Third, human resources as a key to success. Final- ly, characters of cluster influence the effect of spin-off entrepreneurship. Differing from the existent overseas research conclusion, spin-off entrepreneurship under the condition of cluster in China has its unique rules in six aspects, including motivation, research and development of technology, sha- ring of advantages, relation network, division of business and competitive situation.
