Under the background of cooperation RD in industry-university-research alliance,the paper discusses RD project selection problem of alliance members in different governance structures.Cooperation RD achievements are influenced by alliance governance structures,RD project type and incomplete information,while divergence in research goals may create conflicts between partners.Research suggests that cooperation RD project fall away from the ideal situation （complete information） when the unknown inputs are more important on RD achievements,or project divergences do harm to partners;And the total expected return in decentralized structure are smaller than centralized structure.
