英文摘要：

This paper constructs a conduction framework of technology spillover, technology transfer and technology gap, and studies the impact of technology spillover on MNC＇s technology transfer and tech- nology innovation in the host country firms. The results show that the level and pace of technology transfer depend on independent innovation of host firms, the technology gap, and technology transfer costs. Host firms at a disadvantage in technology have to operate in the segment market without direct competition with MNCs, implement the product differentiation strategy in accordance with local and customer demand, and create effective competition environment, which is the inevitable path to attract multinational technology transfer.
