With economic globalization and trade liberalization trend continuously strengthen, the foreign direct investment of Chinese enterprises grow rapidly, especially in the wake of the global economic crisis, foreign investment has become important aspects that Chinese enterprises achieve global distribution. As the main force of foreign investment enterprises, State-owned enter- prises always take the form of mergers and acquisitions. However, due to the uncertainty of financial markets and the defects of our Chinese socialist market economy system, the economic security of our state-owned enterprises in overseas mergers and acquisitions activity being the issue which can not be ignored, so it is particularly important to prevent the risks of the series of activities. There- fore, it＇s important for state-owned enterprises in overseas mergers and acquisitions to deepen the study of this issue.
