公共政策性国有企业是一类非常特殊的企业,其设立的社会目的性要远远优先于经济目的性,公共政策性国有企业治理改革需要注重在承担使命、股权设计、治理结构和监管机制等方面的特殊性。本研究认为,界定公共政策性国有企业的使命需要全面分析其使命源泉、使命主体、使命定位和使命内容;公共政策性国有企业使命特殊性决定了其股权设计的特殊性;公共政策性国有企业有效治理的重要内容在于构建合意的高层管理者激励约束机制;公共政策性国有企业的监管需在尽可能降低监管制度成本的同时,确保其正当履行服务于社会公共利益的职责。
Public-policy-related state-owned enterprises is a kind of very special enterprises. The social purpose of the public-policy-related state-owned enterprises established is much preference to the economic purpose. The particularity of mission undertook, equity structure, governance structure and the supervision mechanism etc. need to be paid attention in the reform of corporate governance of the public-policy-related state-owned enterprises. This paper argues that the definition of the mission of the public-policy state-owned enterprises need to analyze the source, subject, orientation and content of the mission, the particu- larity of the mission of the public-policy state-owned enterprises decides the particularity of the equity structure, the establishment of desirable incentive constraint mechanism is the important content of effective governance of public-policy state-owned enterpri- ses, the regulation to public-policy state-owned enterprises need to reduce regulatory costs as much as possible, and ensure the public-policy state-owned enterprises perform the duties of serving public interests properly as well.
