英文摘要：
This paper mainly used principal - agent theory and stakeholder theory to analysis the corporate governance structure of public hospitals affecting the overall performance. It found that hospital corporate governance structure affected the overall performance by influencing the government action, and the behavior of management and health care. What＇s more, the sound of corporate governance structure conducted to achieving the right balance, and coordination of interests among stakeholders and to improve performance. Establishing a sound governance structure of public hospitals plays an active role to improve the overall performance of the hospital in the conclusion.
