From the new institutional economics and life cycle theory, the article gives a further analysis on the causes of industrial cluster＇s forming, the institutional performance of industrial cluster＇s development and maturity, the institutional risk of industrial cluster, and the institutional innovating of industrial cluster upgrading, and so on. The article gets results as follows： it is very important to establish the institutional innovating system of industrial clusters if we make industrial clusters keep perpetual survivability.
