企业并购作为企业资产重组的一种重要形式，是实现企业战略性扩张、优化资源配置、提高市场占有率以及向新的经济领域渗透等协同效应的重要手段。然而作为一种复杂的资本运作活动，企业并购过程中存在着大量风险，财务风险是其中的一个重要方面。本文通过对企业并购活动中的财务风险进行分析，提出一些具体的防范措施。

M ＆ A of enterprise plays an important form of enterprise assets recomposing, M ＆ A of enterprise is an important synergy method of making strategic expansion of enterprises, optimizing the allocation of resources, increasing market share and penetrating to new economic areas. However, as a complex capital operation activity, there are a lot of risks especially financial risks in the process of enterprise merger and acquisition. In this paper, throagh, financial risk analysis in M ＆ A activity, the author puts forward some specific preventive measures.
